At Aschettino Struhs, we represent our clients in all aspects of business transactions. As with our other practice areas, we apply our understanding of specific industries and clients’ needs to identify and assess opportunities and risks in a transaction, and anticipate potential issues throughout its course. We also apply our multi-disciplinary approach to include expertise from other practice areas, as needed.
 
We regularly advise clients on the formation of companies and other business entities for various business purposes. This involves understanding the clients’ ultimate business objectives and guiding them in choosing the correct structure of a business entity to achieve those objectives.
 
Once a business entity is formed, the next step is often raising capital and ultimately considering an appropriate exit strategy.  We also assist our clients in financing, including negotiations with venture capital entities, private investors, private equity funds and others, and structuring these transactions to achieve our clients’ objectives. In addition, our attorneys provide counsel and guidance though all aspects of public offerings, whether by way of full or partial IPOs or spinoffs.
 
We also advise on all aspects of mergers and acquisitions: joint ventures, strategic alliances, asset sales, leveraged buyouts, tender offers, proxy fights and other ventures—representing both buyers and sellers, including boards of directors and special committees.
